1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under applicable law

2. Account Registration

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Nature of the Service

Overlap is a platform designed to facilitate connections between users. We do not guarantee:

• Matches
• Compatibility
• The accuracy of user profiles

You are solely responsible for your interactions with other users.

4. User Conduct

You agree to use the Service respectfully, lawfully, and in a manner consistent with the safety of other users. You agree not to:

• Harass, threaten, stalk, intimidate, or abuse other users
• Engage in hate speech or discriminatory conduct
• Share false, misleading, or deceptive information
• Impersonate another person or misrepresent your identity, age, relationship status, or intentions
• Use the Service for commercial solicitation, spam, advertising, or lead generation
• Request money from other users or use the Service for fraud, scams, catfishing, or other deceptive schemes
• Upload or distribute unlawful, harmful, defamatory, sexually exploitative, or otherwise offensive content
• Share another person's private information without their consent
• Use the Service to promote prostitution, escort services, trafficking, or any illegal sexual or exploitative activity
• Circumvent any block, report, safety, matching, or account restriction feature
• Use bots, scraping tools, reverse engineering, or other unauthorized means to access or interact with the Service

We reserve the right to investigate suspected violations and take any action we deem appropriate, including removing content, restricting features, suspending accounts, or terminating access to the Service.

5. Safety, Reporting, and User Interactions

Your safety matters, but you understand that Overlap cannot and does not guarantee the conduct, identity, intentions, legitimacy, or compatibility of any user.

You understand and agree that:

• We do not guarantee that all profiles are genuine, accurate, or complete
• We do not conduct background checks on every user unless expressly stated otherwise
• We do not guarantee that users will behave lawfully, respectfully, or safely on or off the Service
• Any decision to communicate with, meet, or form a relationship with another user is made at your own discretion and risk

You are solely responsible for your interactions with other users, especially if you choose to communicate off-platform or meet in person.

We may review user reports and take action in our discretion, but we are not obligated to intervene in every dispute or interaction.

6. User Content

You may be able to create, upload, post, submit, or share content through the Service, including profile information, photos, messages, prompts, and other materials ("User Content").

You retain ownership of your User Content. However, by submitting or making User Content available through the Service, you grant Overlap a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, modify, adapt, display, perform, distribute, and otherwise process that User Content solely for the purposes of:

• Operating, providing, and maintaining the Service
• Improving, developing, and supporting the Service
• Personalizing your experience and the experience of other users
• Reviewing content for safety, security, fraud prevention, and policy enforcement
• Promoting the Service, only as permitted by applicable law and our Privacy Policy

You represent and warrant that:

• You own your User Content or have all necessary rights and permissions to submit it and grant the license described in these Terms
• Your User Content does not violate these Terms, applicable law, or the rights of any third party, including privacy, publicity, intellectual property, and contractual rights
• The information you provide about yourself is materially accurate and not misleading

You understand that User Content may be viewed by other users consistent with the features of the Service, and that we cannot guarantee that other users will not copy, share, or misuse content you choose to make available.

We reserve the right, but not the obligation, to review, remove, restrict, or refuse User Content that violates these Terms, our policies, or that we otherwise determine may harm the Service or its users.

7. Prohibited Content

You may not upload, post, send, display, or otherwise make available content that:

• Is illegal or promotes illegal activity
• Is fraudulent, deceptive, or intended to manipulate or exploit others
• Is sexually explicit, exploitative, coercive, or non-consensual
• Depicts or exploits minors in a sexualized, abusive, misleading, or otherwise inappropriate manner
• Contains nudity or sexual content in violation of our policies
• Is hateful, threatening, harassing, abusive, or violent
• Promotes self-harm, extremism, or dangerous organizations
• Infringes another person's intellectual property, privacy, or publicity rights
• Contains malware, malicious code, or harmful technical content

We may remove or restrict content at our sole discretion, with or without notice.

8. Payments and Subscriptions

Certain features of the Service may be free during initial launch. We reserve the right to introduce paid features, premium subscriptions, or other monetized services in the future.

If we offer paid features in the future, then by making a purchase, you agree that:

• Pricing and applicable terms will be disclosed to you before purchase
• Payments will be processed through the applicable app store or payment provider
• Except as required by law, fees are non-refundable
• Recurring subscriptions, if offered, may automatically renew unless canceled in accordance with the applicable purchase terms

You will be responsible for managing any subscription through the platform from which you purchased it, unless we specify otherwise.

9. Suspension and Termination

We may suspend, restrict, disable, or terminate your account or access to the Service at any time, with or without notice, if:

• You violate these Terms or our policies
• We believe your conduct creates risk, legal exposure, or potential harm to other users or to Overlap
• We suspect fraud, abuse, harassment, impersonation, scams, or other inappropriate activity
• We are required to do so by law or to protect the integrity of the Service

We may also remove content, limit functionality, or prevent account re-creation where appropriate.

You may stop using the Service or delete your account at any time through available account settings or by contacting us.

Termination does not limit any rights or remedies available to us under law or equity.

10. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect and use your information.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Overlap disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.

Without limiting the foregoing, Overlap does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The Service will always be available or function without delays or defects
• The Service will meet your expectations or lead to any particular outcome
• Any match, recommendation, profile, or communication will be accurate, authentic, compatible, or reliable
• Defects, errors, or vulnerabilities will be identified or corrected

12. Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

• Indirect, incidental, or consequential damages
• Loss of data or profits
• Personal interactions between users

Your sole remedy is to stop using the Service.

13. Indemnification

You agree to indemnify and hold harmless Overlap from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your interactions with other users

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes. Continued use of the Service constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of New York, without regard to conflict of law principles.
